1. Agreement to Terms

By accessing or using the NOTchip website at notchip.com(the "Site") or engaging NOTchip ("we," "us," or "our") for development services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Site or services.

2. Services

NOTchip provides mobile app development, web app development, UI/UX design, and MVP development services. The specific scope, deliverables, timeline, and pricing for any engagement are defined in a separate project agreement or statement of work between you and NOTchip.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not:

Violate any applicable law or regulation
Infringe the rights of any third party
Attempt to gain unauthorized access to any part of the Site or its systems
Interfere with the proper functioning of the Site
Transmit any malicious code, viruses, or harmful content

4. Intellectual Property

Site Content

All content on the Site — including text, graphics, logos, images, and software — is the property of NOTchip or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our Site content without prior written permission.

Client Work Product

For development services governed by a project agreement: upon full payment of all agreed fees, the client receives ownership of all custom code, design files, and deliverables produced specifically for their project, unless otherwise specified in the project agreement. NOTchip retains the right to use general knowledge, techniques, and non-proprietary tools developed during any engagement.

5. Project Engagements

All development projects are governed by individual project agreements that specify:

Scope of work and deliverables
Milestone schedule and payment terms
Acceptance criteria
Intellectual property ownership
Confidentiality obligations

In the event of any conflict between these Terms of Service and a project agreement, the project agreement takes precedence for matters related to that specific engagement.

6. Payment Terms

NOTchip operates on a milestone-based payment model. Payment schedules are defined in the project agreement for each engagement. Unless otherwise agreed, invoices are due within 14 days of issuance. Late payments may result in project work being paused until the account is current.

7. Warranties and Disclaimers

The Site is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

For development services, warranties and guarantees are defined in the applicable project agreement.

8. Limitation of Liability

To the maximum extent permitted by law, NOTchip shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Site or our services.

For development services, liability limitations are defined in the applicable project agreement. In the absence of a project agreement, NOTchip's total liability for any claim shall not exceed the fees paid by you to NOTchip in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless NOTchip, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Site, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

We reserve the right to suspend or terminate your access to the Site at any time, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties.

Termination of development services is governed by the applicable project agreement.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the jurisdiction in which NOTchip operates. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration or the courts of competent jurisdiction.

12. Changes to These Terms

We may revise these Terms of Service at any time by updating this page. Changes take effect immediately upon posting. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
